General conditions for accessing and using the platform. They govern browsing and use of nwenergy.com.br; the contracting of products is governed by the Lease Agreement and its Annexes.
These Terms of Use (“Terms”) govern access to and use of the website www.nwenergy.com.br and the information services made available on it by NW ENERGY SPE ANÁPOLIS-GO LTDA, enrolled with the Brazilian taxpayer registry (CNPJ) No. 58.374.962/0001-90, with registered office at Área Rural, S/N, KM 13, Área Rural de Anápolis, Anápolis-GO, Brazil, ZIP 75149-899 (“NW Energy”).
1.1. By accessing or using the website, the user declares that they have read, understood and agree to these Terms. If they do not agree, they must refrain from using the website.
1.2. Important distinction. These Terms govern browsing and use of the website. The contracting of products and services (lease of computing capacity) is governed by a separate instrument — the Computing Capacity Lease Agreement and its Annexes — which prevails over these Terms regarding the purchase relationship.
1.3. The Privacy Policy, the Refund and Cancellation Policy, the Risk Notice and the NWM Notice are part of and complement these Terms.
2.1. User: any person who accesses or uses the website, whether visitor, registered user or client.
2.2. Account: the user’s registration that allows access to restricted areas, simulations and contracting.
2.3. Content: texts, images, trademarks, logos, code, layout and other website materials.
2.4. NWM: the ecosystem’s utility token, as described in the NWM Notice and the Lease Agreement.
3.1. Certain features require registration. The user undertakes to provide truthful, complete and up-to-date information, and to keep it updated.
3.2. Access to products is conditioned on identity verification (KYC) and, where applicable, a source-of-funds declaration, under the Lease Agreement and AML-CFT legislation.
3.3. The user is responsible for the confidentiality of their credentials and for all activity carried out in their Account. They must immediately report any unauthorized use.
3.4. Registration is prohibited for persons under 18 and for individuals or entities subject to applicable sanctions. NW Energy may refuse, suspend or terminate registration upon well-founded suspicion of irregularity.
4.1. The user undertakes to use the website lawfully, in accordance with these Terms and applicable law.
4.2. The user is prohibited from, among other things:
Non-compliance may result in suspension or termination of the Account, without prejudice to applicable legal measures and to reporting to the authorities when required by law.
5.1. All website Content — including trademarks, logos, the AriesEye system, texts, layout and code — is owned by NW Energy or its licensors, protected by intellectual property law.
5.2. The user is granted only a limited, personal, non-exclusive and revocable license to access and use the website for legitimate purposes. No provision transfers intellectual property rights to the user.
5.3. Use of the trademarks and Content without NW Energy’s prior express authorization is prohibited.
The website information is informational and educational in nature. NW Energy markets infrastructure, service and access to computing capacity. Mining output is variable and depends on external factors. NW Energy does not promise return, profit, income, profitability or appreciation. NWM is a utility/access token — it is not a security or an investment (see the NWM Notice).
6.1. Simulations provided on the website are operational estimates and do not constitute a binding offer, a promise of result or an investment recommendation.
6.2. References to third parties (e.g., the ViaBTC pool, public data) are informational and belong to their respective owners.
7.1. The website may contain links to third-party websites and services (e.g., mining pool, payment providers, blockchain explorers). NW Energy does not control and is not responsible for the content, policies or practices of these third parties.
7.2. Access to third-party services is at the user’s own risk, subject to those third parties’ own terms and policies.
8.1. NW Energy strives to keep the website available but does not guarantee uninterrupted or error-free operation. The website may be unavailable due to maintenance, updates or third-party factors.
8.2. NW Energy may, at any time, modify, suspend or discontinue website features, in whole or in part, with notice where applicable.
9.1. Without prejudice to consumer rights under the Brazilian Consumer Protection Code (Law No. 8,078/1990), NW Energy is not liable for damages arising from: unavailability of third-party services (pool, blockchain, payment providers, energy supply); misuse of the website by the user; or external factors beyond its reasonable control.
9.2. Nothing in these Terms excludes or limits liabilities that cannot be excluded or limited by law, in particular toward the consumer. The provisions of this item apply to the maximum extent permitted by law and must be interpreted in accordance with consumer-protection rules.
10.1. The processing of personal data follows the Privacy Policy and Law No. 13,709/2018 (LGPD). The user may exercise their rights through the Data Protection Officer (DPO) channel: contato@nwenergy.com.br.
10.2. Personal data and sensitive documents are never recorded on a public blockchain or IPFS; such records store only technical integrity (hashes, timestamps and technical proofs of the AriesEye system).
11.1. NW Energy may update these Terms, publishing the current version on the website with the date of update. Continued use after publication implies agreement with the updated version.

12.1. These Terms are governed by Brazilian law.
12.2. The courts of the district of Barueri-SP, Brazil, are elected, except, in the case of a consumer, for the courts of the consumer’s domicile.
